Tell me moreAdvisory

  • Assist the Deputy Company Secretary in implementing the Virgin Group’s governance arrangements and provide best practice advice and technical guidance in company secretarial matters.
  • Assist in the provision of company secretarial services to the UK central Virgin Group companies (and overseas companies as required) to ensure that they comply with best practice and statutory requirements.

Board, Committee and General Meetings

  • Attendance at Board and Committee Meetings as agreed w and preparation of minutes thereof.
  • Oversight of preparation of agendas and board papers for relevant Boards .

Overseas Compliance

  • Work with the team to monitor and manage overseas compliance deadlines, working with third party service providers to ensure best practice.

Group Simplification

  • Assist with the Group Simplification Programme, working closely with wider teams and third party advisors to ensure the most effective Group structure.

Statutory, Regulatory and Compliance

  • Undertake compliance related tasks as identified.
  • Oversee the preparation of the Virgin Group corporate structure charts
  • Assist in the preparation or review of statutory reports and accounts and approval and signature thereof.
  • Work with the Finance, Tax and Treasury teams in connection with the preparation of intragroup funding documentation and financing arrangements.
  • Monitor Virgin Group Contingent Liabilities.

What you’ll need

  • Fully qualified Grad ICSA (Institute of Chartered Secretaries and Administrators) status.
  • Proven experience in a company secretarial role.
  • Strong experience preparing and writing minutes and interacting with Boards of Directors and senior leadership.
  • The ability to work proactively and independently under the guidance of the Deputy Company Secretary.
  • Strong technical experience with Diligent Entities software.
  • Experience with and an understanding of Governance Frameworks is desirable.
