OverviewWe are seeking a dedicated and detail-oriented Assistant Company Secretary to join our team. In this pivotal role, you will support the governance framework, ensuring compliance with regulatory requirements and facilitating effective meeting governance. Your contributions will be essential in maintaining the integrity of our company’s decision-making processes. You will work closely with various Boards and their Executive committee structures, providing critical support to uphold our high standards of governance. How you’ll make an impactMeeting Coordination and Support:

  • Collaborate with relevant Chairs to prepare and distribute agendas, board packs, and essential documentation for Board and committee meetings.
  • Organise meeting logistics, including scheduling, venue arrangements, and technology setup.
  • Attend meetings to accurately document discussions and decisions through timely minute-taking.
  • Build relationships with meeting members and attendees to gain insights into the business, leveraging this knowledge to enhance governance practices.
  • Facilitate appropriate escalation and reporting to senior governance committees and Boards.
  • Partner with the Chair to ensure Management Information is relevant and enhances the governance process.

Governance and Compliance:

  • Ensure adherence to statutory and regulatory requirements, with a focus on those specific to the insurance brokerage industry.
  • Stay informed on relevant legislation and best practices in corporate governance.
  • Assist in preparing and filing statutory returns and other regulatory documents.

Documentation and Record Keeping:

  • Maintain precise records of Board and committee meetings, including minutes, resolutions, and action items.
  • Oversee the secure storage and retrieval of corporate documents and records.
  • Aid in the development and upkeep of governance policies and procedures.

Stakeholder Engagement:

  • Facilitate effective communication and information flow by liaising with Board members, senior management, and external advisors.
  • Support the Company Secretary in managing relationships with regulatory bodies and other key stakeholders.

Project Support:

  • Assist in governance-related projects and initiatives, providing research and administrative support as required.
  • Contribute to the ongoing enhancement of governance processes and practices.

About You

  • A qualification from the Institute of Chartered Secretaries and Administrators (ICSA) or a legal qualification is required, or you should be actively working towards obtaining it.
  • Proven experience in a company secretarial or governance role, ideally within the regulated insurance or financial services sectors.
  • Strong understanding of UK corporate governance and regulatory requirements.
  • Exceptional organizational and time management skills, with the capability to handle multiple priorities effectively.
  • Meticulous attention to detail and accuracy in documentation and record-keeping.
  • Strong communication and interpersonal skills, with the ability to engage and collaborate with stakeholders at all levels.
  • Proficiency in Microsoft Office Suite and familiarity with board portal software.
