We are hiring an Assistant Corporate SecretaryLocation: Pomeroy Lodging Corporate Office, Calgary, AB
Hours: Full-time, Monday to Friday, 8:00 am – 5:00 pmAre you a meticulous legal professional with a passion for corporate governance? If so, we have an exciting opportunity for you to join our team as an Assistant Corporate Secretary. This role is essential in supporting our Corporate Secretary and Senior Leadership team, ensuring smooth corporate processes and effective stakeholder communication.Key Responsibilities:Document Management and Record-Keeping:

  • Maintain minute books for share transactions, acquisitions, and divestitures across multiple jurisdictions.
  • Organize and manage closing book records.
  • Ensure all corporate records are properly filed, accessible, accurate, and confidential.
  • Maintain physical records of share and unit certificates.

Document Preparation and Compliance:

  • Prepare various corporate resolutions and documentation related to share/unit transfers.
  • Administer the contracts management system, including initial reviews for compliance and accuracy.
  • Identify potential risks and liabilities associated with contracts.

Communication and Reporting:

  • Communicate with investors regarding notices, annual investor packages, and shareholder updates.
  • Ensure ownership transparency reporting in multiple jurisdictions.

Administrative Support:

  • Provide overflow and vacation coverage for the Executive Assistant and Corporate Secretary.

Process Improvement:

  • Recommend and implement improvements to enhance efficiency and accuracy.

Qualifications:

  • Minimum of 5 years’ experience in Corporate/Business Law in a law firm or in-house legal environment.
  • Experience with corporate records software (Emergent, Athennian, ALF, EnAct, etc.).
  • CORES Level I (minimum).
  • Clear understanding of legal concepts related to Corporate/Business Law.
  • Knowledge of the Business Corporations Act (Alberta).
  • Experience with Alberta and British Columbia minute books and related documentation.
  • Strong attention to detail and organizational skills.
  • Ability to manage multiple tasks concurrently and work independently.
  • Strong initiative and time management skills.

Working Conditions:

  • Based in our downtown Calgary corporate office.
  • Regular office hours with the potential for long days and/or weekends to meet business demands or deadlines.
  • Fast-paced environment with high interaction levels using various technology applications.
